Terms & Conditions

These terms apply to all services provided by Zefram, operated by Andreas Oszkiel.

1. Services

Zefram provides AI readiness assessments, solution design and implementation, and ongoing advisory services. The scope, deliverables, and timeline for each engagement are agreed in writing before work begins.

2. Engagement structure

Each engagement is self-contained. Moving from one step to the next requires mutual agreement. There are no automatic renewals or bundled commitments.

• AI Readiness Scan: Fixed fee of €3,500. Includes two half-day sessions, a written report, and a 60-minute findings presentation.
• AI Solution Build: Fixed fee of €7,500. Scope and acceptance criteria agreed in writing before work starts.
• AI Operations Retainer: €2,000 per month. Includes one monthly session, async support within 48 hours, and a quarterly priority review. Either party may cancel with 30 days' written notice.

3. Payment

Invoices are issued at the start of each engagement or monthly for retainer services. Payment is due within 14 days of invoice date. All prices are in euros and exclusive of VAT where applicable.

4. Intellectual property

All deliverables produced during an engagement (reports, process maps, solution designs, implemented tools) become the property of the client upon full payment. Zefram retains the right to use anonymized methodologies and general learnings in future work.

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during an engagement. This obligation survives the end of the engagement. Zefram will not share client data, process details, or business information with third parties without written consent.

6. Liability

Zefram's total liability for any engagement is limited to the fees paid for that specific engagement. Zefram is not liable for indirect, consequential, or incidental damages arising from recommendations made or solutions implemented.

7. Cancellation

Either party may cancel a Scan or Build engagement with written notice before the next scheduled session. Fees for completed sessions are non-refundable. Retainer services may be cancelled with 30 days' written notice.

8. Governing law

These terms are governed by the laws of the Netherlands. Any disputes will be resolved through the courts of Amsterdam.

9. Changes to these terms

Zefram may update these terms. Changes take effect when posted on this page. Ongoing engagements continue under the terms in effect at the time of agreement.
